Legal Structure & Responsibilities

Choosing Your Legal Entity

Establish the appropriate legal framework and governance roles crucial for running a children’s home, ensuring clear accountability, compliance with regulations, and robust oversight.

Choosing Your Legal Entity

Limited Company (Private Limited – Ltd):
  • Common structure for care providers; offers limited liability protection.
  • Requires registration with Companies House and annual filings.
Charitable Incorporated Organisation (CIO):
  • Suitable for not-for-profit operations; may access certain grants but entails charity commission oversight.
Partnerships or LLPs:
  • Less common in residential care; partners share liability and profits.
Trusts or Special Purpose Vehicles (SPVs):
  • Can segregate assets or operations for risk management; useful for multi-site portfolios.

Key Governance Roles

Responsible Individual (RI):
  • Legally accountable for compliance with Children’s Homes Regulations and Quality Standards.
  • Oversees all statutory requirements, reports incidents to Ofsted, and ensures policies are implemented.
Registered Manager:
  • Day-to-day leader of the home; must hold Level 5 Diploma in Leadership & Management for Residential Childcare (or equivalent).
  • Manages staff, care plans, and ensures welfare standards in line with the SOPs.
Director or Board of Directors (if Ltd):
  • Provides strategic oversight, financial governance, and risk management for the company.
Designated Safeguarding Lead:
  • Leads on child protection processes, liaises with local safeguarding partners, and ensures staff training is up to date.

Compliance & Reporting Obligations

Companies House Filings

Annual Confirmation Statement and Financial Statements submission.

Ofsted Notifications

Prompt reporting of significant events (serious incidents, safeguarding issues, RI or manager changes).

Health & Safety and Environmental Compliance

Regular risk assessments, fire safety checks, and premises maintenance log.

Data Protection (GDPR)

Secure handling of children’s records, staff data, and incident reports.
